GRS are looking for an experienced Corporate Governance Officer for an international Asset Management company in Malta. You will work closely with the Senior Management on all aspects of the corporate governance framework of the company. The ideal candidate will have experience within Investment Services, Financial Services and have a strong background in Legal or Compliance. MAIN DUTIES AND RESPONSIBILITIES
  • Support the implementation of a robust corporate governance framework.
  • Provides advice and support on company law, policy, and regulation on company secretarial and corporate governance aspects.
  • Oversight of statutory provisions relating to the Malta Business Register and relevant regulatory authorities.
  • Supporting the Company Secretary in organising and delivering requirements for the Board, Committees and Annual General meetings of the Company, including agenda and minute production.
  • Support and ensure adherence to corporate governance best practice.
  • Working closely with the department heads to assist with regulatory requests, sharing of management information and following up on actions to/for the Board.
  • Following up on matters arising from the Board and Board meetings.
  • Supporting the Company Secretary as required.
  • Provide information to the Board and its committees, senior management, and non-executive directors as required or requested.
  • Liaises with the Head of Compliance on company policies to ensure they are fit for purposes.
  • Scheduled reviews of internal procedures and updated in line with company and or regulatory requirements.
CANDIDATE PROFILE
  • Experience gained in investment services, law firms specialising in financial services and other related businesses
  • Relevant university degree and/or a strong track record in Legal and Compliance
  • Fluent English. Other languages will be considered an asset
  • A good team player, capable of leading in a fast-paced pressured environment while maintaining accuracy and quality
  • Excellent communication skills, with the ability to deal efficiently with various internal and external stakeholders
  • Ability to build relationships effectively, both in the immediate team and wider business
  • Attention to detail and ability to assess potential legal and compliance risks
